End-user licence agreement (EULA)

This End User License Agreement ("EULA" or "Agreement") is a legally binding contract between you (the "End User" or "Customer") and Care4Kid ("Company," "we," "us," or "our"). This EULA governs your acquisition and use of the Care4Kid software, cloud services, mobile applications, monitoring services, customer portal, subscriptions, and any associated intellectual property (collectively, the "Software").

By downloading, installing, registering, accessing, activating, or otherwise using the Software, you expressly acknowledge that you have read, understood, and unconditionally agree to be bound by the terms of this EULA. If you do not agree, you must not download, install, or use the Software.

Care4Kid is intended exclusively for lawful parental monitoring, child safety, device management, and other legally authorized uses. You acknowledge that any use of the Software outside of these expressly permitted boundaries is strictly prohibited.

Subject strictly to your continuous compliance with this EULA and payment of all applicable subscription fees, Care4Kid grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the Software solely for personal, non-commercial purposes.

This license does not grant you the right to deploy the Software across a commercial network, provide the Software as a service to third parties, or use the Software on devices for which you do not possess the explicit legal authority to monitor.

Care4Kid retains all rights, title, interest, and ownership in and to the Software, including all software code, designs, databases, algorithms, trademarks, documentation, content, and underlying technology. No ownership rights, explicit or implied, are transferred to you under this Agreement.

The Software is protected by copyright laws, international treaty provisions, and other intellectual property laws. You acknowledge that Care4Kid owns all intellectual property rights associated with the Software, and you shall not take any action to jeopardize, limit, or interfere with our ownership rights.

You are strictly prohibited from attempting to bypass, modify, defeat, or circumvent any technical limitations or licensing mechanisms embedded within the Software designed to protect Care4Kid's intellectual property.

You are solely and exclusively responsible for ensuring that your use of Care4Kid complies with all applicable local, state, federal, and international laws, regulations, and statutes regarding privacy, surveillance, and wiretapping.

You must obtain all mandatory permissions, authorizations, and consents required by applicable law from the users of the target device prior to installing or using the Software. Care4Kid does not provide legal advice; you are strictly responsible for consulting independent legal counsel regarding your intended use.

By using the Software, you direct Care4Kid to process data from the target device on your behalf. You acknowledge that you are the data controller, and you bear full legal responsibility for the collection of such data.

To ensure optimal performance and security, Care4Kid may automatically push and install updates, patches, security fixes, feature enhancements, and compatibility updates. You acknowledge and agree that these updates may automatically modify, replace, remove, or permanently change existing functionality without prior notice.

You explicitly consent to Care4Kid's collection and processing of technical, diagnostic, operational, and account-related information necessary to provide, maintain, secure, monitor, and improve our services.

Certain core features of the Software strictly require continuous internet connectivity, access to our cloud services, and interaction with third-party platforms. You are entirely responsible for securing internet access and bearing all associated carrier, data, and bandwidth charges.

Care4Kid does not guarantee continuous compatibility with all devices, operating systems, or firmware versions. Device compatibility is subject to change at any time without liability.

The Software may interact with or rely upon third-party platforms. We make no representations or warranties regarding the continuous availability or performance of these third-party services.

Access to the Software is granted on a subscription basis. Your license to use the Software is contingent upon an active, paid subscription.

You are responsible for maintaining the absolute confidentiality of your Care4Kid account credentials. You are liable for all activities performed under your account, whether authorized by you or not.

The Software must be activated using a valid license key or authorized account. Any attempt to use unauthorized keys, activation exploits, or cracked versions will result in immediate termination and potential legal action.

Your license restricts installation to the number of devices explicitly specified in your subscription plan. Unauthorized installations on additional devices are strictly prohibited.

THE SOFTWARE IS PROVIDED ON A STRICTLY "AS IS" AND "AS AVAILABLE" BASIS. CARE4KID EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. WE MAKE NO GUARANTEES REGARDING CONTINUOUS AVAILABILITY, ERROR-FREE OPERATION, COMPATIBILITY, MONITORING RESULTS, THIRD-PARTY PLATFORM SUPPORT, DATA ACCURACY, OR DATA RETENTION. NO GUARANTEE IS MADE THAT THE SOFTWARE WILL MEET EVERY USER'S SPECIFIC REQUIREMENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, CARE4KID SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, DEVICE DAMAGE, SERVICE INTERRUPTIONS, SECURITY INCIDENTS, THIRD-PARTY ACTIONS, INDIRECT DAMAGES, CONSEQUENTIAL DAMAGES, SPECIAL DAMAGES, OR PUNITIVE DAMAGES. CARE4KID'S TOTAL AGGREGATE LIABILITY SHALL NEVER EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE APPLICABLE SUBSCRIPTION DURING THE PRECEDING TWELVE (12) MONTHS.

You agree to comply fully with all applicable national and international export laws and regulations that apply to the Software. You may not export or re-export the Software to any restricted countries or prohibited entities.

You unconditionally agree to defend, indemnify, and hold harmless Care4Kid, its owners, employees, affiliates, contractors, licensors, distributors, and service providers from and against any and all claims, damages, liabilities, losses, penalties, investigations, legal expenses, or costs arising directly or indirectly from your use of the Software, your violation of any law, your violation of this EULA, or any misuse of our services.

Care4Kid reserves the absolute right to suspend, restrict, terminate, revoke, or deactivate your licenses and accounts immediately, without notice or refund, for any violation of this EULA, fraud, abuse, unauthorized use, chargebacks, illegal activity, or suspected security threats. Upon termination, all access rights immediately cease, your licenses become invalid, and services will be discontinued without liability to Care4Kid.

In addition to termination, we may temporarily suspend your access to protect the integrity of our network, comply with legal orders, or perform emergency maintenance.

This EULA shall be governed by and construed under the laws of the jurisdiction where Care4Kid is established, completely disregarding any conflict of law provisions.

In the event of a dispute, you agree to require good-faith negotiation before initiating any formal legal proceedings. Notwithstanding this, Care4Kid reserves the unilateral right to immediately seek injunctive relief in any court of competent jurisdiction to halt intellectual property violations, misuse, fraud, or unauthorized access.

Care4Kid shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, strikes, or major infrastructural internet failures.

If any provision of this EULA is deemed invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Care4Kid provides technical support at its sole discretion. We are under no obligation to provide support for third-party hardware, modified operating systems, or unsupported network configurations.

Care4Kid reserves the right to amend, modify, or update this EULA at any time. Continued use of the Software following any such changes constitutes your binding acceptance of the revised Agreement.
